Aivoma Innovations Ltd – Plugin License Agreement

 

Effective Date: 15 February 2016 (as may be amended from time to time)

  1. License Grant
    Aivoma Innovations Ltd (“Licensor”) hereby grants you (“User”) a limited, non-exclusive, non-transferable, and revocable license to download, install, and use the provided software (“Plugin”) on websites under your direct control. This license is granted solely for lawful personal or commercial purposes, free of charge, and does not confer any ownership rights or intellectual property rights in or to the Plugin.
  2. Restrictions
    In consideration for this license, you expressly agree to the following conditions:

    • No Modification
      You shall not modify, alter, reverse-engineer, or decompile the Plugin, or attempt to do so.
    • No Redistribution
      You shall not distribute, sublicense, sell, lease, rent, or otherwise transfer the Plugin or any portion thereof.
    • No Commercial Exploitation
      You shall not commercialize or exploit the Plugin’s code, features, or functionality, except as expressly permitted by this Agreement.
    • No False Claims
      You shall not claim ownership or authorship of the Plugin or any of its components.
    • No Unlawful Use
      You shall not use the Plugin in a manner that violates any applicable laws, regulations, or third-party rights.
  3. Enforcement and Legal Remedies
    • Immediate Legal Action
      Any breach or threatened breach of this Agreement constitutes a direct violation of Aivoma Innovations Ltd’s rights. We reserve the right to pursue immediate legal action, including but not limited to seeking injunctive relief, monetary damages, and recovery of legal fees.
    • Cooperation with Authorities
      Should any illegal conduct be identified, we may cooperate fully with law enforcement or regulatory agencies in any investigation or prosecution of violations related to your use or misuse of the Plugin.
  4. Disclaimer of Warranty
    The Plugin is provided on an “AS IS” and “AS AVAILABLE” basis. To the maximum extent permitted by law, Aivoma Innovations Ltd disclaims all warranties—express, implied, or statutory—including, but not limited to, warranties of merchantability, fitness for a particular purpose, and non-infringement. We make no guarantee that the Plugin will function without interruption, error, or incompatibility with specific WordPress versions or third-party software.
  5. Limitation of Liability
    In no event shall Aivoma Innovations Ltd be liable for any direct, indirect, incidental, special, consequential, or exemplary damages arising from or in connection with:

    • The use or inability to use the Plugin.
    • Any damage to hardware, software, or data.
    • Loss of profits, revenue, or anticipated savings.

    Even if advised in advance of the possibility of such damages, our liability to you shall not exceed the amount you paid for the Plugin (which, for a free Plugin, is zero).

  6. User Responsibilities
    By installing or using the Plugin, you acknowledge and agree that:

    • You assume all risks arising from its use or misuse.
    • You must ensure your website and its content comply with all legal and regulatory requirements.
    • You are solely responsible for data backups, security measures, and compliance obligations related to your website.
  7. Termination
    • Termination by Licensor
      Aivoma Innovations Ltd may, at its sole discretion, revoke or terminate this license at any time if you fail to comply with any term herein. Upon termination, you must immediately discontinue all use of the Plugin and remove all copies from your systems.
    • Survival of Provisions
      Provisions regarding limitations of liability, disclaimers, indemnification, and enforcement shall survive any termination or expiration of this Agreement.
  8. Governing Law and Jurisdiction
    This Agreement and any dispute or claim arising out of or in connection with it (including non-contractual disputes or claims) shall be governed by the laws of England and Wales. Any legal action or proceeding relating to this Agreement shall be brought exclusively in the courts located in England and Wales, and you hereby consent to the personal jurisdiction of such courts.
  9. Acceptance of Terms
    By downloading, installing, or using the Plugin, you represent that you have read, understood, and agree to be bound by the provisions of this Agreement. If you do not agree, you must not download, install, or use the Plugin.

Important:

All current and future plugins, add-ons, or other software developed or distributed by Aivoma Innovations Ltd are protected under this License Agreement and subject to the same terms and conditions herein.

This Agreement is intended to provide notice of your obligations and our rights. If you breach this Agreement, you may be subject to litigation, damages, and any other remedies available under applicable law.
